Welcome to SP-CRM. These Terms & Conditions ("Terms") govern your access to and use of the SP-CRM platform, website, software applications, and related services (collectively, the "Services"). By accessing or using SP-CRM, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must discontinue use of the Services immediately.

2. Definitions

For the purposes of these Terms:

  • "Platform" refers to SP-CRM and all related services.
  • "User", "You", or "Your" refers to any individual, company, organization, or entity accessing or using the Services.
  • "Organization Account" refers to the primary business account created within SP-CRM.
  • "Employee Account" refers to sub-accounts created under an Organization Account.
  • "Content" refers to all information, files, records, documents, communications, data, and materials uploaded or stored within the Platform.

3. Eligibility

You must be at least 13 years of age to access and use the Platform.

Users engaging in paid subscriptions, purchases, billing activities, or legally binding transactions through the Platform must be at least 18 years of age or have legal authority to enter into such agreements.

By using the Services, you represent and warrant that you meet these eligibility requirements.


4. Account Registration

To access certain features of SP-CRM, users may be required to create an account.

You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activities conducted under your account.
  • Promptly notify us of any unauthorized use of your account.

Each subscription is intended for a single Organization Account. Organizations may create and manage employee accounts within their organization as permitted by their subscription plan.


5. Free Access and Subscription Services

SP-CRM may provide free registration and access to certain features.

Advanced functionality, premium modules, integrations, additional usage limits, or enhanced services may require an active paid subscription.

Features available under each subscription plan may change from time to time at our discretion.


6. Payments and Billing

Paid subscriptions are processed through authorized payment service providers, including Razorpay and other supported payment gateways.

By purchasing a subscription, you agree that:

  • All payment information provided is accurate and authorized.
  • Applicable taxes may be charged where required by law.
  • Subscription fees must be paid in accordance with the selected plan.
  • Failure to make payment may result in suspension or restriction of Services.

Subscription renewal is currently optional unless explicitly stated otherwise at the time of purchase.


7. Refund Policy

Refund requests are reviewed on a case-by-case basis.

Approval or denial of any refund request shall be determined solely by SP-CRM after reviewing the circumstances involved.

Refund requests may be denied where:

  • Services have already been substantially utilized.
  • Violations of these Terms have occurred.
  • Abuse of refund requests is suspected.

8. User Data Ownership

Users retain ownership of all lawful data, content, records, documents, and information uploaded to the Platform.

Such data may include, but is not limited to:

  • Customer records
  • Leads
  • Invoices
  • Employee records
  • Documents and files
  • Business communications
  • CRM-related operational data

SP-CRM does not claim ownership over user-generated business data.


9. License to Operate Services

To provide and maintain the Services, you grant SP-CRM a limited, non-exclusive, revocable license to:

  • Store data submitted to the Platform.
  • Process information necessary for service delivery.
  • Generate backups.
  • Perform technical maintenance.
  • Provide customer support and troubleshooting.

This license exists solely for the purpose of operating and improving the Services.


10. Data Backup and Retention

SP-CRM performs periodic system backups for operational continuity and disaster recovery purposes.

While reasonable efforts are made to protect and preserve data, no backup system can guarantee absolute protection against all failures, corruption, cyber incidents, or unforeseen events.

Users are encouraged to maintain independent copies of critical business information.

Prior to account termination or deletion, users may export their available data where supported by the Platform.


11. Acceptable Use Policy

Users shall not use SP-CRM for any unlawful, abusive, fraudulent, harmful, or unauthorized purpose.

Prohibited activities include:

  • Violating applicable laws or regulations.
  • Uploading malware, viruses, ransomware, or harmful code.
  • Sending spam or unsolicited communications.
  • Attempting unauthorized access to systems or accounts.
  • Reverse engineering, decompiling, or disassembling the software.
  • Circumventing security measures.
  • Interfering with platform functionality.
  • Using the Platform to conduct illegal activities.
  • Reselling, sublicensing, or commercially exploiting access without written authorization.
  • Collecting personal information unlawfully.
  • Engaging in activities that may damage the reputation or operation of SP-CRM.

Violation of this section may result in immediate suspension or termination of access.


12. Intellectual Property Rights

All rights, title, and interest in and to SP-CRM remain the exclusive property of Supriya Prabhat and its licensors.

This includes but is not limited to:

  • Software code
  • Platform architecture
  • Databases
  • User interfaces
  • Branding
  • Logos
  • Trademarks
  • Documentation
  • Designs
  • Features and functionality

These rights are protected under applicable intellectual property laws.


13. Limited Software License

Subject to compliance with these Terms, SP-CRM grants users a limited, non-transferable, non-exclusive, revocable license to access and use the Services.

Users may not:

  • Modify the software.
  • Copy source code.
  • Reverse engineer the Platform.
  • Redistribute software components.
  • Create derivative works without authorization.
  • Resell platform access without written permission.

14. Third-Party Integrations

SP-CRM may integrate with third-party services including, but not limited to:

  • Google services
  • Meta services
  • WhatsApp services
  • Payment gateways
  • Communication providers
  • Business productivity platforms

Your use of such services may also be governed by the terms and privacy policies of those third-party providers.

SP-CRM is not responsible for service interruptions, data handling practices, policies, or actions of third-party providers.


15. Custom Development and Professional Services

SP-CRM may provide:

  • Custom software development
  • CRM customization
  • Implementation services
  • Data migration assistance
  • Consulting services
  • Training and onboarding services

Such services may be governed by separate proposals, statements of work, contracts, or service agreements.

Where separate agreements exist, those agreements shall prevail regarding the specific services provided.


16. Service Availability

While we strive to maintain reliable availability, uninterrupted access to the Services cannot be guaranteed.

Scheduled maintenance, upgrades, technical issues, internet disruptions, third-party outages, or force majeure events may temporarily affect service availability.

SP-CRM reserves the right to modify, suspend, or discontinue features when necessary.


17. Enterprise Service Commitments

Enterprise customers may receive enhanced support or service-level commitments under separate agreements.

Any Service Level Agreement (SLA) shall apply only where expressly agreed in writing.


18. Suspension and Termination

SP-CRM may suspend or terminate access to the Services if:

  • Subscription fees remain unpaid.
  • These Terms are violated.
  • Fraudulent activity is suspected.
  • Security risks are identified.
  • Continued use could harm the Platform, users, or third parties.

Users may discontinue use of the Services at any time.

Termination does not eliminate outstanding payment obligations incurred before termination.


19. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, SP-CRM disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability
  • Accuracy
  • Reliability

We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from defects.


20. Limitation of Liability

To the maximum extent permitted by law, SP-CRM, its owner, affiliates, employees, contractors, and representatives shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of data
  • Service interruptions

In no event shall our total liability exceed the amount paid by the user to SP-CRM during the twelve (12) months preceding the claim.


21. Indemnification

You agree to indemnify and hold harmless SP-CRM, Supriya Prabhat, affiliates, employees, contractors, and representatives from any claims, damages, liabilities, losses, expenses, or legal costs arising from:

  • Your use of the Services.
  • Violation of these Terms.
  • Violation of applicable laws.
  • Infringement of third-party rights.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.


23. Dispute Resolution

In the event of a dispute:

  1. The parties shall first attempt to resolve the matter through good-faith discussions and mediation.
  2. If mediation is unsuccessful, either party may pursue remedies through the competent courts located in Patna, Bihar, India.

The courts of Patna, Bihar shall have exclusive jurisdiction over disputes arising from these Terms.


24. Changes to Terms

SP-CRM reserves the right to modify these Terms at any time.

Updated versions will be published on the Platform along with the revised effective date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
